Neocloud debt markets "temporarily dried up" — the secondary market is about to get interesting

The financing engine behind the neocloud build-out has stalled for the first time. That is bad news for operators carrying GPUs without anchor offtake — and the best buying window the secondary market has seen.

Nebius CEO Arkady Volozh told investors in late October that some sources of capital — he named asset-backed financing and the debt markets — had temporarily dried up, in the same breath as announcing a $3.5 billion Citi facility to fund GPU purchases and datacenter expansion. He said the company could still build at least a gigawatt on customer advances and its $40 billion of long-term contracts.

The market context is harsher. CoreWeave, Nebius and IREN each lost more than 30% of their value in October; CoreWeave's 2032 notes traded near 78 cents on the dollar this week, a yield above 15%, with credit-default swaps above 11%. NVIDIA's July filing disclosed roughly $36 billion of off-balance-sheet backstops for neocloud partners, and the spread between hyperscaler-anchored GPU debt (IREN's Microsoft-backed facility priced at a blended 6%) and unanchored paper (9% and up) keeps widening.

The mechanics matter for anyone buying or selling capacity. GPU loans are written at 70–80% loan-to-value against the hardware and the offtake contract. When the offtake is thin and the refinancing window closes, operators have two choices: find a committed tenant fast, or sell the capacity — racks, clusters, sometimes the whole site.

The Ax3 take

What it means if you're buying: Capacity that was financed on 2025 demand assumptions and never found an anchor tenant is the inventory that shows up on a brokerage marketplace, and it arrives with motivated sellers. Expect better term pricing, shorter deposit schedules and more willingness to split clusters into smaller units over the next two quarters. Underwrite the counterparty, not just the rate: ask who holds the debt on the GPUs you are contracting and what happens to your term if the operator refinances or sells the site.

What to do about it: Operators carrying unfunded or under-contracted B300 and GB300 capacity should list it now, while the rates still hold the mid-$4 floor — the Ax3 desk runs codenamed listings so the market never sees your name on the inventory. Buyers with 2027 requirements should put requirements in with the desk this month; the matches improve as the quarter closes.
